These Terms of Use explain the terms and conditions for accessing and using Guardian’s (also referred to herein as “Company”) various websites and components that link to these Terms of Use (collectively, the "Company Sites"). By using the Company Sites, you agree to be bound by these Terms of Use and any new version of such posted since your last visit, which shall be enforceable in the same way as if you had signed the Terms of Use. If you do not agree to these Terms of Use, you are not granted permission to use the Company Sites and must exit immediately.

These Terms of Use apply to any person or entity accessing and/or using the Company Sites. If you are accepting these Terms and accessing or using the Company Sites on behalf of a legal entity, the words “you” and “your” as used in these Terms shall refer to such entity. The words “we,” “us,” and “our” as used in these Terms mean Guardian.

1. Limited license/copyright and intellectual property law restrictions

Except for public domain material, the content on the Company Sites is protected by intellectual property laws, including U.S. copyright laws. You are hereby granted a non-exclusive license to use the material at this site ("Content") while connected to this site (including, where available, to email individual stories to friends directly from this site). Except as provided in clause 5, you may not electronically reproduce, adapt, distribute, perform, or display the material at this site except as necessary to review the Content while connected to this site. We may provide links from our site as a convenience to our visitors. We have no control over linked sites and make no representations about any content or material available at these locations. Links are not intended to imply sponsorship, affiliation or endorsement with the linked site. If you believe that we have provided a link to a site that contains infringing or illegal content or that makes available cracker tools or other circumvention devices, we ask that you notify us so that we may evaluate whether (in our sole discretion) to disable it.

4. Disclaimer of warranties

You expressly agree that use of the Company Sites is at your sole risk. There is no warranty that your access to or use of the Company Sites will be uninterrupted or error free; or that any particular results may be obtained by use of the Company Sites. Chatbots and/or any other AI tools available at the Company Sites may be generated using AI where users assume full responsibility. Neither we nor any other person or entity providing content via the Company Sites, including AI tools, shall be liable to you for any direct, indirect, incidental, special or consequential damages.

5. Content

5.1        You can submit information to the Company Sites (“Input”) and receive results from the Company Sites based on that information (“Output”) (Input and Output are referred to collectively as “Content”). You are accountable for the Content, ensuring it complies with all relevant laws and these Terms of Use. You confirm and guarantee that you possess all necessary rights, licenses, and permissions to provide Input to the Company Sites.

5.2       As between you and Company, and as allowed by applicable law, you (a) retain your rights in Input, and (b) own Output, excluding Company or third party intellectual property rights or confidential information contained therein. You acknowledge that generative artificial intelligence features of the Company Sites may produce the same or similar Output for multiple users.

5.3       The Company Sites may include artificial intelligence assistants (“AI Assistants”).  You agree and instruct that (a) Company may use and store Content processed by the AI Assistants (“AI Content”) to develop and improve the Company Sites, along with any associated software applications and sites; and (b) Company may use and store AI Content processed by the AI Assistants that is not personal data to develop and improve Company machine-learning and artificial-intelligence technologies.

5.4       Company Sites may include third party software, products, or services, (“Third Party Services”). You understand and accept that Third Party Services have their own terms and conditions, and Company holds no responsibility for them.

5.5       You (including your business or organization) agree to, as allowed by law, indemnify and hold us, our affiliates, and our personnel harmless from any costs, losses, liabilities, and expenses (including attorneys’ fees) resulting from third-party claims related to your use of the Company Sites and Content or any breach of these Terms of Use.

5.6       You hereby grant Company a perpetual, royalty-free, irrevocable, worldwide, unlimited, non-exclusive license to use, reproduce, modify, publish, transmit, perform, display, sublicense, translate, distribute and create derivative works from any Content provided by you in, or through, the Company Sites for any purpose whatsoever, in any form, media or technology now or hereafter known or developed. No credit, approval or compensation is due to you for any such use of such Content. Please note that unless otherwise agreed in writing, Company shall have no obligation to maintain the confidentiality of any Content submitted by you. Personal information we collect on the Company Sites shall be subject to our Privacy Policy (defined below).

6. Privacy Policy

The privacy policy (the "Privacy Policy") for the Company Sites is posted at the homepage. The terms of the Privacy Policy, and any future amendments to it, are hereby incorporated by reference in its entirety into these Terms of Use and subject to these terms. 7. Copyright Infringement Complaint Procedures

If you believe in good faith that your work has been copied in a way that constitutes copyright infringement, please notify the Company via one of the methods identified below with a comprehensive detailed message setting forth the following information:

a) A physical or electronic signature of the owner (or an authorized agent) of the copyright material(s) alleged to have been infringed and a statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

b) A description of the copyrighted work or works that the copyright owner or agent claims have been infringed and a reasonable identification of the material(s) the copyright owner claims is infringing the copyrighted work(s) and is requesting to be removed or access be disabled;
c) A description of where the alleged infringing material(s) is located on the Company Sites (include a URL if possible);

d) Sufficient contact information regarding the copyright owner or agent, such as your physical address, e-mail address, website, telephone number, and fax number; and

e) The following statement: “The statements, representations, and assertions made in this message are true, complete, and accurate and I have the full legal authority to make each and every such statement, representation, and assertion and to make and be granted any demand made in this message.”

9. Disclaimer

You should be aware that Output may not always be accurate, reliable, or suitable for specific purposes. Company does not guarantee the completeness, correctness, or appropriateness of Output. You are encouraged to independently verify information and use the Output responsibly. Features of the Company Sites might produce Output that is inaccurate, inadvertently create unsafe directives, or exhibit biases, which can be a consequence of the underlying data or the way in which the algorithm was initially trained.

8. Modifications/termination

9. Jurisdiction

The terms of use shall be governed in accordance with the laws of the state of Michigan, U.S.A., excluding its conflict of laws provisions. We reserve the right to add, delete, or modify any or all terms of use at any time with or without notice.
